Infosys Board member Ann Fudge says no to re-appointment


   
Bangalore, Apr 28 (PTI) Country's second largest software
services firm Infosys today said its independent director Ann
Fudge will not seek re-appointment to the Board after her term
expires in June this year.
     "Ann Fudge, Independent Director, who is scheduled to
complete her term on the Infosys Board on June 14, 2014, has
conveyed her intention not to seek re-appointment owing to her
busy schedule," Infosys said in a statement.
     Currently, Infosys Board has seven Independent Directors
and six Executive Directors.
     "Due to increasing time commitments on other Boards, I
have decided not to seek re-appointment on the Infosys Board.
With the addition of new Board Members and a solid succession
plan in place, I know the company is well-positioned for
success," Fudge said.
     She had joined the Infosys Board in 2011.
     Recently, the company had announced the appointment of
Carol M Browner, Distinguished Senior Fellow at the Center for
American Progress and Counselor to the Albright Stonebridge
Group, as an Additional Director on the company Board.
     Her appointment shall be effective on the date Ms Browner
receives her Director Identification Number from the Ministry
of Corporate Affairs, the company said.
     "I thank Ann for her seminal contribution to Infosys. The
Board will miss Ann's wisdom, insight and analysis. We wish
her all the best for the future," Infoys Executive Chairman NR
Narayana Murthy said.
     The Bangalore-based firm has witnessed a number of senior
level exits over the last two years with Senior Vice President
and General Counsel Nithyanandan Radhakrishnan being the
latest to resign earlier this month.
     Others in the list include Board members V Balakrishnan
and Ashok Vemuri, and executive council member Chandrashekar
Kakal.
     Fudge was the chaiperson and CEO of Young & Rubicam
Brands, a global network of pre-eminent companies across the
full range of marketing communications.
     Previously, she has also served as the President of the
Beverages, Desserts and Post Division - a US$ 5 billion unit
of Kraft Foods.
     She has also served on Boards of General Electric,
Novartis and Unilever. PTI KSU
